1. Engagement

The Company engages Contractor to provide tutoring services for Vet Finish Line students, and Contractor accepts such engagement subject to the terms of this Agreement. Contractor shall perform all services as an independent contractor, not as an employee.

2. Term

This Agreement commences on the date of signature and continues until the completion of the assigned tutoring cycle of approximately 8–12 weeks, unless terminated earlier under Section 15. Tutors are expected not to resign or withdraw during an active cycle. A new agreement is signed for each tutoring window.

3. Credentials and onboarding

Before delivering any session, Contractor shall provide, and the Company shall verify: evidence of the DVM degree including school and year of graduation; current veterinary licence in good standing; two professional references; a completed IRS Form W-9; and a headshot and short biography for use per Section 12. The Company may withhold scheduling until these are complete.

4. Services

Group Tutoring: Contractor will teach weekly group sessions scheduled by the Company, approximately 1–2 hours per week for 8–12 weeks per cycle. Private Tutoring: Private (1:1) tutoring is a separate engagement, offered at the Company’s discretion following satisfactory performance across a completed group cycle. Where assigned, Contractor will teach weekly private sessions scheduled directly with assigned students and provide progress reports. Contractor shall perform services professionally, punctually, and with strict confidentiality regarding all student information.

5. Compensation

Group Tutoring: a flat fee of $1,200 per cycle, subject to deductions of $100 for each hour missed. Contractor may earn an additional $100 per hour when filling in for another tutor. Private Tutoring: $1,500 per student per cycle, plus a $1,000 bonus if the student passes. All compensation is paid per IRS Form 1099 rules. There is no entitlement to employee benefits. Payment is made within two (2) weeks after NAVLE® scores are released for the relevant cycle.

6. Independent contractor status

Contractor is engaged as an independent contractor, not an employee. Nothing herein creates a partnership, joint venture, or employer-employee relationship. Contractor is responsible for all federal, state, and local taxes arising from compensation paid under this Agreement, and for their own insurance and benefits.

7. Materials

The Company shall provide all lesson plans, teaching materials, and resources necessary for tutoring. Contractor shall not use such materials for personal or outside business purposes.

8. Intellectual property

All lesson plans, teaching materials, recordings, and work product created by Contractor in connection with tutoring services for the Company are the sole and exclusive property of the Company, and Contractor assigns all rights, title, and interest therein to the Company. Materials Contractor created before this engagement and independently of it remain Contractor’s own. Where Contractor uses such materials in a session, Contractor grants the Company a perpetual, royalty-free licence to use them in connection with the recording and delivery of that session.

9. Scheduling

Group sessions are scheduled by mutual agreement between Contractor and Vet Finish Line, and Contractor commits to holding the same recurring slot for the full cycle. Private sessions are scheduled by mutual agreement between Contractor and the student.

10. Conduct

Contractor agrees to maintain professional behaviour, safeguard student confidentiality, and represent the Company positively at all times. Payment may be withheld in the event of a breach of conduct.

11. Confidentiality

Contractor may have access to confidential information, including student academic records, exam preparation content, Company training methods, lesson materials, and business strategies. Contractor shall not disclose, reproduce, or use any Confidential Information except as necessary to perform services under this Agreement. This obligation survives termination indefinitely. Breach entitles the Company to pursue all remedies available at law or in equity, including injunctive relief, damages, and attorney’s fees.

12. Session delivery, recording and use

Sessions are delivered through Company-provided Zoom events. Recording and attendance capture are automatic; Contractor is not required to upload files. Contractor shall host each session from the Company’s scheduled Zoom event and not from a personal meeting room, start on time and remain for the scheduled duration, and report any technical failure that prevented recording within 48 hours.

Contractor agrees to be recorded and consents to the Company’s use of all recordings.

Authorization. Contractor grants Vet Finish Line (at no additional cost) a perpetual, worldwide, irrevocable, royalty-free, non-exclusive licence to photograph, record, film, videotape, use, and/or exploit in whole or in part Contractor’s name, voice, image, portrait, biographical material, appearance, and likeness for promoting Vet Finish Line’s business, presentations, and events, and other legitimate uses consistent with its mission.

13. Unable to tutor

If Contractor is unable to tutor at a scheduled time, Contractor must notify info@vetfinishline.com and the Vet Finish Line Tutor Group chat at least 48 hours beforehand so a replacement can be found. If requested, Contractor must make that session up within one week.

14. Non-solicitation

During the term and for one (1) year thereafter, Contractor shall not: (a) solicit Vet Finish Line students or clients for tutoring or examination-preparation services outside this Agreement; (b) solicit Vet Finish Line tutors or contractors to leave or reduce their engagement; or (c) offer substantially similar examination-preparation tutoring to students who were Vet Finish Line students during Contractor’s engagement.

Nothing in this Section restricts Contractor’s practice of veterinary medicine, employment by any veterinary practice or institution, or teaching that does not involve Vet Finish Line students or materials. If any part is found unenforceable, the remainder continues in effect.

15. Termination

The Company may terminate immediately for cause, including misconduct, unprofessional behaviour, breach of confidentiality, or failure to perform. Either party may terminate without cause on written notice at least 14 days before the start of a new tutoring cycle.

16. Indemnification

Contractor agrees to indemnify and hold harmless the Company, its affiliates, and its officers from any claims, damages, or liabilities arising out of Contractor’s actions, omissions, or performance of services.

17. Dispute resolution

Any dispute shall first be resolved through good faith negotiation. If unresolved within thirty (30) days, the parties will attempt mediation before a mutually agreed mediator, costs shared equally. If mediation fails, the parties agree to binding arbitration under AAA rules in Rochester, NY. Each party bears its own costs unless the arbitrator awards otherwise. Nothing prevents either party bringing a claim in small claims court within that court’s limit.

18. Miscellaneous

This Agreement constitutes the entire agreement between the parties and may not be modified except in writing signed by both parties. Governing law: New York.
